Terms of Service

These terms govern the supply of temporary workers, contract cleaners and outsourced housekeeping services by Arvy Hospitality Solutions Ltd ("we", "us") to the client ("you"). By submitting a staff request or signing a service agreement, you accept these terms.
1. Definitions
- Worker — any person supplied by us to perform services for the client.
- Assignment — the period during which a worker is supplied.
- Charges — the fees set out in our quotation or rate card.
2. Bookings & quotations
Bookings are made through the client portal, by email or by telephone. Quotations are valid for 7 days unless stated otherwise. A booking is confirmed when we accept it in writing or fulfil the assignment.
3. Charges & payment
- Charges are calculated on actual hours worked, rounded to the nearest 15 minutes, plus VAT.
- Emergency and out-of-hours assignments are charged at the published premium rate.
- Invoices are payable within the agreed payment terms (default 14 days) from invoice date.
- Late payments accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Cancellation
- Cancellations made more than 24 hours before assignment start: no charge.
- Cancellations within 24 hours: 4 hours minimum charge per worker.
- No-shows or on-site cancellations: full shift charge.
5. Transfer & introduction fees
If the client (or any associated party) engages a worker directly within 12 months of last working through us, a transfer fee equal to 15% of the worker's gross annual salary becomes payable, or — at the client's option — an extended hire period of 12 weeks at our standard charge rate.
6. Client obligations
- Provide a safe place of work and complete health & safety induction.
- Supervise workers and confirm hours via signed timesheets or the portal.
- Comply with the Working Time Regulations 1998 and Agency Workers Regulations 2010.
- Not require workers to perform duties materially outside the agreed role.
7. Our obligations
- Use reasonable skill and care in selecting and supplying workers.
- Verify identity, right to work and relevant qualifications.
- Maintain Employer's Liability and Public Liability insurance.
8. Liability
We are not liable for any act, default or negligence of a worker while under the client's direction and control. Subject to applicable law, our total liability arising out of any assignment is limited to the charges paid for that assignment in the 3 months preceding the event giving rise to the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
9. Termination
Either party may terminate an ongoing engagement on 30 days' written notice. Either party may terminate immediately for material breach not remedied within 14 days of notice.
10. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
